HTX Whistleblowing Channel

Background

The HTX whistleblowing channel provides a platform for individuals to report suspected wrongdoing and possible improprieties relating to HTX.

All whistleblowing reports on HTX Staff are handled independently by the HTX Audit Division and outcomes of investigations reviewed by the HTX Audit Committee.

Whistleblowers may report concerns without fear of retaliation.

Types of impropriety

• Failure to observe a legal obligation

• Miscarriage of justice

• Endangering the health or safety of persons or the environment

• Financial and non-financial administrative malpractice, e.g. not observing proper procedures for tendering

• Fraud or deliberate error in the preparation, evaluation, review, audit of financial accounts and records

• Academic or professional malpractice, e.g. violation of Intellectual property rights or failure of integrity in research

• Improper conduct or unethical behaviour e.g. sexual harassment, abusive behaviours, engaging in activities that could result in conflict of interests with work roles and duties

• Participation in or condoning a reportable wrongdoing through wilful suppression or concealment of any information relating to a wrongdoing

Confidentiality

Whistleblowers are strongly encouraged to identify themselves by providing their names and contact details to facilitate investigations and follow up where clarification or additional information may be required.

Anonymous reports will be considered at HTX’s discretion and may be pursued if sufficient information is provided.

The ability to investigate depends on the quality and adequacy of the information provided by the Whistleblower.

All disclosures will be treated in utmost confidence, and every effort will be made not to reveal the identity to the extent feasible and permissible under the law.

Protection of Whistleblowers

All disclosures must be made in good faith, without malice, and based on reasonable grounds to suspect that an incident of a wrongful act has occurred.

HTX will not tolerate any form of discrimination, retaliation, or harassment of any kind against Whistleblowers who make whistleblowing reports in good faith.

Any person who makes a report in good faith can rest assured that no action will be taken against them even if the investigation reveals no wrongdoing.

However, HTX shall consider taking appropriate action against a Whistleblower who makes a false, malicious or frivolous report.
